Leidos Announces $2.4 Billion Acquisition of ENTRUST Solutions Group
Leidos said it has entered into a definitive agreement to acquire ENTRUST Solutions Group for approximately $2.4 billion, a move that expands the company’s presence in the U.S. energy infrastructure and utility engineering markets.
The company said the acquisition will significantly expand its energy infrastructure engineering operations, which currently generate about $600 million in annual revenue. ENTRUST Solutions Group provides engineering and consulting services across electric and gas generation, transmission, and distribution networks.
According to Leidos, the transaction is expected to be immediately accretive to revenue growth and adjusted EBITDA margins, with non-GAAP diluted earnings per share accretion anticipated in 2027. The all-cash deal is expected to be funded through a combination of new debt, cash on hand, and commercial paper.
The acquisition is expected to close by the end of the second quarter of 2026, subject to regulatory approvals and customary closing conditions.
U.S. utilities are projected to invest approximately $1 trillion over the next decade in grid modernization and resilience initiatives, a trend that continues to support demand for energy infrastructure and engineering services.
